These terms apply to every quotation, order and contract for the supply of furniture, goods and related services by Business Designs & Interiors Ltd, trading as Business Designs (“we”, “us” or “our”), a company registered in England and Wales under company number 03822572, whose trading address is Silver Birch Barn, Lodge Road, Abson, Wick, Bristol, BS30 5TU. Telephone: 0117 937 2540.
“You” means the person or organisation we supply. A copy of these terms is provided or linked with each quotation, and they form part of the contract between us once you accept our quotation.
1. Quotations and orders
1.1 Our quotations are valid for 30 days unless they say otherwise. A quotation is an invitation to order, not a contract.
1.2 A contract is formed when you accept our quotation and we confirm your order to you in writing. If we are unable to confirm your order, for example because the manufacturer cannot supply the goods as quoted, we will refund any payment you have made in full.
1.3 Please check our order confirmation carefully (sizes, finishes, quantities, delivery details) and tell us within 2 working days of any error.
1.4 These terms apply to the exclusion of any other terms, including any terms on your purchase order, unless we agree otherwise in writing.
2. Prices and payment
2.1 Prices exclude VAT, which is added at the prevailing rate, and include delivery only where our quotation says so.
2.2 Unless we agree otherwise in writing, payment for furniture is due in full before we place the order with the manufacturer. For installation and fit-out work, payment terms are those set out in our quotation or contract.
2.3 If a manufacturer increases its price or applies a surcharge after our quotation and before we place your order, we will tell you before proceeding. You may then accept the revised price or withdraw, in which case we will refund any payment you have made in full.
2.4 If a business customer pays late, we may charge statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, together with our reasonable costs of recovery.
3. Made-to-order goods
3.1 Many of our products are made to order, including special sizes, finishes, power modules and cut-outs. Once we have placed your order with the manufacturer, it cannot be cancelled, changed or returned because you have changed your mind.
3.2 Where the manufacturer sends a drawing for approval, the approved drawing is final and production begins on approval. Please check dimensions and the position of all features carefully before approving.
3.3 If you wish to cancel before we have placed the order with the manufacturer, tell us straight away and we will refund any payment you have made in full.
4. Lead times, delivery and collection
4.1 Lead times and delivery dates are estimates based on information from the manufacturer. Time is not of the essence. We will keep you informed of any delay.
4.2 Where goods are collected from the manufacturer’s works, we will tell you the collection address, opening hours and any vehicle requirements. You are responsible for providing a suitable vehicle and for safe loading and transport.
4.3 Where we deliver, you must make sure the delivery address has suitable access, including doors, corridors, lifts and stairs for large items such as boardroom tables, and tell us in advance of any restrictions. We may charge for failed deliveries, redelivery and waiting time.
4.4 If you do not collect or accept delivery within 7 days of being told the goods are ready, we may charge reasonable storage costs.
5. Inspection, damage and variation
5.1 Please inspect goods on delivery or collection. Note any visible damage or shortage on the delivery or collection note, and tell us in writing, ideally with photographs, within 3 working days. We may reject claims for visible damage or shortage reported after that.
5.2 Natural materials, veneers and finishes vary between batches, and samples, images and screens are a guide only. Reasonable variation in grain, colour and texture is not a defect.
6. Defects and warranty
6.1 If goods are defective in materials or workmanship and you tell us in writing within 12 months of delivery or collection, we will, at our option, repair or replace them, or refund the price paid for them.
6.2 This does not cover fair wear and tear, misuse, accidental or deliberate damage, alterations, spills, or assembly or installation not carried out by us or in accordance with the manufacturer’s instructions.
6.3 Where a manufacturer offers a warranty, we will pass on its benefit. This does not reduce your rights under clause 6.1.
7. Ownership and risk
7.1 Risk in the goods passes to you on delivery or collection.
7.2 Ownership of the goods passes to you when we have received payment in full.
8. Installation and fit-out works
Where we supply installation, partitions, mezzanine floors or fit-out services, the scope is set out in our quotation. We will carry out the work with reasonable skill and care. You will provide safe access, utilities and information we reasonably need. Any change to the agreed scope is a variation that must be agreed in writing. Larger projects may be subject to a separate written contract, which prevails if it conflicts with these terms.
9. Our liability
9.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited or excluded.
9.2 Subject to clause 9.1, where you are a business customer we are not liable for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss, and our total liability to you under or in connection with the contract is limited to the price you have paid for the goods or services concerned.
10. Events beyond our control and supply failure
We are not liable for delay or failure caused by events outside our reasonable control, including a failure or delay by the manufacturer or a carrier. We will tell you as soon as we can. If the delay is serious, you may cancel the affected order and we will refund in full any sum you have paid for goods not delivered.
11. Consumers
If you are buying as a consumer (outside any trade, business, craft or profession), nothing in these terms affects your statutory rights, including your rights under the Consumer Rights Act 2015 for goods that are of satisfactory quality, fit for purpose and as described. Your right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 does not apply to goods made to your specification or clearly personalised (see clause 3). Clauses 2.4 and 9.2 apply to business customers only.
12. Personal data
We use your personal data as set out in our Privacy Policy.
13. General
13.1 These terms, together with our quotation and order confirmation, are the whole agreement between us about the goods and services concerned.
13.2 A change to the contract is effective only if agreed in writing by us.
13.3 If any part of these terms is found to be unenforceable, the rest continues to apply.
13.4 Nobody other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
13.5 Notices must be in writing and sent by post to our trading address above or by email using the address shown on the Contact page of our website.
13.6 These terms and any dispute arising from them are governed by the law of England and Wales. Business customers agree to the exclusive jurisdiction of the courts of England and Wales. Consumers may bring proceedings in the courts of the part of the United Kingdom where they live.
